Sinforoso “Rossi” Tolentino is a of counsel in the firm’s Guam law office. He concentrates his practice on business law with an emphasis on structuring business entities. Mr. Tolentino has represented a wide range of business organizations, in both private transactions and before federal and state administrative agencies. He has delivered guest lectures on basic business law for the small business owner, and has reviewed and critiqued a presentation for the annual U.O.G. Small Business Symposium.

Representative Matters

Corporate Formation, Dissolution and Merger Assists corporations in preparing documentation and obtaining licenses to operate in Guam. Prepares articles of incorporation and bylaws as well as foreign corporation registrations.

Limited Liability Companies and Partnerships Assists in the formation of limited liability companies and partnerships and the development of operating agreements for member-managed and manger-managed entities.

Professional and Specialty Licenses, Registration, and Insurance Licenses Assists professionals and business owners with licenses and registractions, including registration for professional engineer, architect and land surveyor licenses; registration for general and specialty contractor licenses; alcoholic beverage control licenses, greyhound gaming licenses; and agricultural product import permits. Has advised and prepared documents for corporate clients on various methods under Guam law to dissolve corporations. Has delivered and prepared documents on corporate merger under Guam law. Has negotiated and prepared documents for the acquisition of small businesses by way of purchase of stock and purchase of assets.

Leases Assists property owners with preparing documents and negotiating commercial and residential leases with tenants. Assists landlords in unlawful detainer and eviction proceedings to recover lost rent damages and possession of their property.

Business Operations Performs research for clients from various industries to determine the legal ramifications of new business ventures. Provides both risk assessment and alternatives for pursuit.

Sales of Business  Represents corporate sellers, buyers and lending institutions in connection with the sale of income producing property. Has prepared and negotiated asset sales agreements, stock purchase agreements, loan agreements and related transaction documents.

Employment Contracts and Independent Contractor AgreementsRepresents employers in negotiating agreements for managerial employees, executives and employee sharing arrangements. Represents employers in negotiating independent contractor agreements.

Immigration Provides immigration services for employers and individuals seeking permanent and temporary residence in the United States, including intra-company transfers, trader and investors visas, specialty occupation visas, temporary workers petitions and permanent residence, CNMI transition visas.

Estate Planning Prepares estate plans for individuals ranging from those with complex estates to those with much more modest assets. Clients include residents of both U.S. and Guam jurisdictions.

Probate Administers probates of various sizes, including rather complex issues that arise with the probate of the assets of non-resident aliens in Guam.
